1. The CodCoach Service

CodCoach provides AI-powered tools designed to analyze gameplay and provide coaching, feedback, recommendations, insights, and other gameplay-related information for Call of Duty: Warzone, Call of Duty Multiplayer, and potentially other supported games.

Our Services may allow you to upload or submit gameplay videos, clips, screenshots, recordings, statistics, usernames, gamertags, and other content for analysis.

CodCoach may modify, improve, suspend, or discontinue any part of the Services at any time.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Services.

CodCoach is not intended for children under the age of 13, or any higher minimum age required by applicable law in your jurisdiction.

If you are under the age of majority in your jurisdiction, you may use the Services only with the permission and supervision of a parent or legal guardian where required by law.

3. Your Account

Certain features may require you to create an account.

You agree to:

• Provide accurate and current information.
• Keep your account credentials secure.
• Not share your account in a manner that violates your subscription or plan limits.
• Notify us promptly of any unauthorized access to your account.
• Accept responsibility for activities occurring through your account, except where applicable law provides otherwise.

We may suspend or terminate accounts that violate these Terms or create security, legal, or operational risks.

4. AI-Generated Analysis and Coaching

CodCoach uses artificial intelligence and automated systems to generate gameplay analysis, recommendations, feedback, and coaching.

You understand and agree that:

• AI-generated outputs may be inaccurate, incomplete, outdated, or inappropriate for a particular situation.
• CodCoach does not guarantee improvements in gameplay performance, rankings, statistics, wins, or competitive results.
• AI recommendations are provided for informational and entertainment purposes.
• You are responsible for deciding whether and how to use any recommendations provided by the Services.
• AI outputs should not be treated as guaranteed, authoritative, or error-free.

Your use of the Services is at your own discretion and risk.

5. Your Content

You may submit gameplay footage, clips, screenshots, recordings, text, statistics, and other materials to CodCoach ("User Content").

You retain ownership of any intellectual property rights you hold in your User Content.

However, by submitting User Content through the Services, you grant CodCoach a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, modify as technically necessary, and use your User Content solely as reasonably necessary to:

• Provide the Services to you.
• Generate AI-powered analysis and coaching.
• Maintain, secure, troubleshoot, and improve the Services.
• Develop and improve CodCoach features and systems, subject to applicable law and our Privacy Policy.

You represent and warrant that:

• You own or have the necessary rights and permissions to submit the User Content.
• Your User Content does not violate applicable law or the rights of another person or entity.
• You have obtained any necessary permissions from individuals whose personal information, voice, image, or other content may appear in your submissions.

You are responsible for your User Content.

6. Prohibited Conduct

You agree not to:

• Use CodCoach for any unlawful purpose.
• Violate applicable laws or regulations.
• Infringe or misappropriate intellectual property, privacy, publicity, or other rights.
• Upload malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to the Services or other users' accounts.
• Interfere with or disrupt the security or operation of CodCoach.
• Reverse engineer, decompile, or attempt to extract source code except where prohibited by applicable law.
• Scrape, crawl, or use automated systems to access the Services without our permission.
• Circumvent usage limits, security measures, subscription restrictions, or access controls.
• Resell, rent, lease, sublicense, or commercially exploit the Services without written permission.
• Use the Services to develop or train a competing product using CodCoach outputs, systems, or materials where prohibited by applicable law.
• Abuse, harass, threaten, or harm other users or our personnel.

We may investigate violations and suspend or terminate access where appropriate.

7. Subscriptions and Payments

Some features of CodCoach may require payment.

By purchasing a subscription or paid feature, you agree to provide accurate billing information and authorize the applicable payment processor to charge the applicable fees.

Unless otherwise stated:

• Subscription fees may be charged on a recurring basis.
• Your subscription may automatically renew until cancelled.
• You are responsible for applicable taxes, unless otherwise stated.
• Prices and features may change from time to time, subject to applicable law and any required notice.

You may cancel your subscription according to the cancellation options made available through your account or payment provider.

Except where required by applicable law or expressly stated otherwise, payments are non-refundable.

8. Free Trials and Promotional Offers

CodCoach may offer free trials, promotional pricing, or other limited offers.

Additional terms may apply to those offers. Unless otherwise stated, we may modify or discontinue promotional offers at any time, subject to applicable law.

If a free trial converts into a paid subscription, you may be charged when the trial period ends unless you cancel before the applicable deadline.

9. Intellectual Property

The Services, including the CodCoach name, branding, software, technology, interfaces, designs, text, graphics, logos, AI systems, and other materials provided by CodCoach are owned by or licensed to us and are protected by applicable intellectual property laws.

Subject to these Terms, CodCoach grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for your personal or authorized internal purposes.

Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any part of the Services without our prior written permission.

10. Third-Party Games and Services

CodCoach may analyze or interact with content relating to third-party games, platforms, or services.

CodCoach is an independent service and is not affiliated with, endorsed by, sponsored by, or officially connected with Activision, Call of Duty, Warzone, Microsoft, Sony, or any other third-party platform or rights holder unless explicitly stated otherwise.

Call of Duty, Warzone, and other related names, logos, and trademarks are the property of their respective owners.

Your use of third-party games and platforms remains subject to their own terms, rules, policies, and agreements.

You are responsible for ensuring that your use of CodCoach does not violate any applicable third-party terms.

11. Feedback

If you provide suggestions, ideas, comments, or feedback regarding CodCoach ("Feedback"), you grant us the right to use that Feedback without restriction or compensation to you, unless otherwise required by applicable law.

12. Availability and Changes

We aim to provide a reliable Service, but we do not guarantee that CodCoach will always be available, uninterrupted, secure, or error-free.

We may:

• Modify or update features.
• Add or remove functionality.
• Perform maintenance.
• Restrict access to certain features.
• Suspend or discontinue the Services or portions of the Services.

Where reasonably possible, we will provide notice of material changes that significantly affect your use of paid Services.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODCOACH AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT GUARANTEE THAT:

• THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
• AI ANALYSIS OR RECOMMENDATIONS WILL BE ACCURATE OR COMPLETE.
• THE SERVICES WILL IMPROVE YOUR GAMEPLAY PERFORMANCE.
• THE SERVICES WILL BE AVAILABLE AT ALL TIMES.
• USER CONTENT OR OTHER DATA WILL NEVER BE LOST.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODCOACH AND ITS OWNERS, EMPLOYEES, CONTRACTORS, PARTNERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, GOODWILL, BUSINESS OPPORTUNITIES, OR GAMEPLAY RESULTS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO CODCOACH FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS ($100 USD).

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CodCoach and its owners, employees, contractors, partners, and service providers from claims, damages, losses, liabilities, and expenses arising out of or related to:

• Your use of the Services.
• Your User Content.
• Your violation of these Terms.
• Your violation of applicable law.
• Your violation of another person's rights.

16. Suspension and Termination

You may stop using CodCoach at any time.

We may suspend or terminate your access to all or part of the Services if we reasonably believe that:

• You violated these Terms.
• Your use creates a security or legal risk.
• Your account is involved in fraud or abuse.
• We are required to do so by law.
• Your continued access could harm CodCoach, its users, or third parties.

Upon termination, your right to use the Services will end.

Sections that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive.

Our collection and use of personal information is described in our Privacy Policy.

By using CodCoach, you acknowledge that your information may be collected and processed as described in that Privacy Policy.

We may update these Terms from time to time.

When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may provide additional notice where required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

19. Governing Law

These Terms and any dispute arising from them will be governed by the laws of Lithuania, without regard to conflict-of-law principles, except where mandatory consumer protection laws provide otherwise.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and CodCoach regarding your use of the Services.
